These Terms & Conditions (these “Terms”) govern your access to and use of KMNDZ.com, any online store or ecommerce site operated by or on behalf of KMNDZ Art, LLC and linked to or associated with KMNDZ.com, including its Shopify-hosted store, and any other website, page, service, feature, or online property that links to these Terms (collectively, the “Site”), as well as your purchase of artwork, prints, merchandise, and other products offered by KMNDZ Art, LLC through the Site (collectively, “Products”).

The Site and Products are operated and offered by KMNDZ Art, LLC, a California limited liability company (“KMNDZ,” “we,” “us,” or “our”).

By accessing or using the Site, placing an order, or purchasing a Product, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies expressly incorporated into them.  If you do not agree to these Terms, do not use the Site or purchase Products.

1. Eligibility and Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. By placing an order, you represent that you have the legal capacity to enter into a binding agreement or are acting with the authorization of a person or entity having such capacity.

You may not use the Site in any manner that violates applicable law, infringes or misappropriates the rights of KMNDZ or any third party, interferes with the operation or security of the Site, attempts to gain unauthorized access to the Site or related systems, or facilitates any fraudulent, abusive, deceptive, or unlawful activity.

KMNDZ reserves the right, to the fullest extent permitted by applicable law, to restrict or terminate access to the Site, refuse service, reject or cancel orders, or take other appropriate action with respect to conduct that violates these Terms or that KMNDZ reasonably determines may harm KMNDZ, the artist, the Site, its customers, its service providers, or any third party.

By agreeing to these Terms & Conditions, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

2. Products and Availability

KMNDZ may offer limited-edition prints, time-limited editions, open-edition prints, framed or unframed artwork, merchandise, original artwork, and other Products from time to time.

All Products are subject to availability. KMNDZ may add, remove, discontinue, modify, limit, or change Products, formats, sizes, materials, framing options, pricing, packaging, or other Product characteristics at any time, subject to any express commitments applicable to a previously purchased limited edition.

Product descriptions, dimensions, images, specifications, edition information, materials, framing information, and other information are provided in good faith and are intended to describe the applicable Product reasonably accurately. Minor variations that are customary or inherent in artistic, printing, manufacturing, framing, or fulfillment processes will not constitute a defect.

KMNDZ reserves the right to limit the quantity of Products purchased by any person, household, account, payment method, billing or shipping address, or otherwise, including where KMNDZ reasonably believes purchases are being made for unauthorized resale or other commercial exploitation.

3. Color, Appearance, and Product Variations

KMNDZ makes reasonable efforts to display artwork and Products accurately. However, colors, brightness, contrast, texture, scale, and other visual characteristics may appear differently depending upon a user's monitor, mobile device, display settings, browser, lighting, and other factors.

Printed, manufactured, framed, or handmade Products may also exhibit minor variations arising from the materials and processes used to produce them.

Accordingly, KMNDZ does not guarantee that the physical Product will appear identical to its digital representation, and reasonable variations in color, appearance, texture, dimensions, positioning, materials, or other characteristics do not constitute defects.

4. Limited Editions

Certain Products may be offered as limited editions. The nature and limitation of a limited edition will be as expressly stated in the applicable Product description.

An edition-size limited edition is limited to the number of works identified in the applicable Product description, subject to any artist's proofs, printer's proofs, exhibition proofs, archival proofs, replacement proofs, or other proofs or exceptions expressly disclosed or customarily reserved by the artist.

A time-limited edition is offered for purchase only during the period specified in the applicable Product description. Unless otherwise expressly stated, the number of works ultimately produced in a time-limited edition may depend upon the number of qualifying orders received during the applicable release period.

Where applicable, limited-edition Products may be signed, numbered, accompanied by a certificate of authenticity, or otherwise identified as stated in the applicable Product description.

Unless expressly stated otherwise in the applicable Product description, the creation of a limited edition does not prohibit KMNDZ or the artist from creating or offering other works incorporating the same or similar imagery, subject matter, composition, or artwork in different sizes, dimensions, media, materials, formats, colorways, crops, treatments, configurations, or product categories, or from creating artist's proofs, printer's proofs, exhibition proofs, archival proofs, replacement proofs, or other customary variants.

Notwithstanding the foregoing, KMNDZ will not knowingly represent a numbered or otherwise expressly size-limited edition as being limited to a stated number and thereafter produce additional copies within that same edition in excess of the represented edition size, except for any proofs, replacements, or other exceptions disclosed in connection with that edition or otherwise permitted by applicable law and customary fine-art practice.

Purchase of a limited-edition Product confers ownership only of the particular physical Product purchased and does not convey any copyright or other intellectual-property right in the underlying artwork.

5. Orders and Acceptance

Your submission of an order constitutes an offer to purchase the applicable Product and does not constitute acceptance by KMNDZ.

KMNDZ may accept or reject any order in its discretion, subject to applicable law. An order may be rejected or canceled for reasons including Product unavailability, errors in Product information or pricing, suspected fraud, payment problems, quantity limitations, inability to fulfill or deliver the Product, violation of these Terms, or other legitimate business reasons.

If KMNDZ cancels an order after payment has been collected and no Product is provided, KMNDZ will refund the amount collected for the canceled Product as required by applicable law.

Orders may enter production or fulfillment promptly after submission. Except where KMNDZ expressly permits cancellation, orders may not be canceled or modified after they have been submitted.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

6. Pricing and Payment

All prices are stated in U.S. dollars unless otherwise indicated.

Prices, shipping charges, taxes, and other charges are those displayed or otherwise disclosed at the time of purchase, subject to correction of errors as permitted by law.

Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

KMNDZ may use third-party ecommerce platforms, payment processors, financial institutions, digital-wallet providers, or other service providers to facilitate transactions. KMNDZ does not necessarily receive or retain complete payment-card information submitted through such providers.

You represent and warrant that you are authorized to use any payment method submitted in connection with an order and authorize the applicable charges associated with your purchase.

KMNDZ reserves the right to correct typographical, pricing, descriptive, or other errors and, where permitted by applicable law, to cancel an order affected by a material error. If KMNDZ cancels an order for which payment has already been collected, KMNDZ will provide any refund required by applicable law.

7. Third-Party Service Providers

KMNDZ may engage independent third parties from time to time to provide services in connection with the Site, Products, and orders, including ecommerce hosting, payment processing, photography and imaging, printing, manufacturing, framing, packaging, warehousing, fulfillment, shipping, technology, hosting, communications, and other services (“Third-Party Service Providers”).

Third-Party Service Providers may change without notice.

To the fullest extent permitted by applicable law, KMNDZ is not responsible for delays, interruptions, failures, losses, damage, errors, acts, or omissions attributable to independent Third-Party Service Providers or circumstances outside KMNDZ's reasonable control, except to the extent KMNDZ expressly assumes responsibility under these Terms or applicable law provides otherwise. We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.

Nothing in this Section limits any non-waivable rights or remedies available to a consumer under applicable law.

8. Shipping and Delivery

KMNDZ currently ships Products only to eligible addresses within the United States. KMNDZ may expand, restrict, suspend, or otherwise modify available shipping destinations at any time.

Shipping and processing times are estimates only unless KMNDZ expressly agrees otherwise in writing. Production and delivery may be affected by Product type, framing, availability, order volume, carrier operations, weather, natural disasters, labor interruptions, supply-chain conditions, governmental action, or other circumstances outside KMNDZ's reasonable control.

Tracking information may be provided when available.

You are responsible for providing a complete and accurate shipping address and for reviewing that information before submitting your order. To the fullest extent permitted by law, KMNDZ is not responsible for loss, delay, additional expense, or nondelivery resulting from an incorrect, incomplete, outdated, or undeliverable address supplied by the customer.

Risk associated with shipment and delivery will be allocated to the fullest extent permitted by applicable law. KMNDZ does not guarantee the performance of any independent shipping carrier or delivery service.

9. Final Sales; No Returns or Exchanges

ALL SALES ARE FINAL.

Except as expressly provided in these Terms or required by applicable law, KMNDZ does not accept returns or exchanges and does not provide refunds, credits, or cancellations because a customer changes their mind, no longer wants a Product, prefers a different size or framing option, or for any other reason unrelated to qualifying damage.

Because Products may be produced, printed, framed, packaged, or otherwise prepared in response to an order, the final-sale policy applies whether or not production has been completed at the time a customer seeks to cancel or return an order, except where KMNDZ expressly agrees otherwise or applicable law requires otherwise.

10. Damaged Products

If a Product arrives damaged, you must notify KMNDZ at KMNDZart@gmail.com within fifteen (15) days after delivery.

Your notice must include your order information, a description of the claimed damage, and clear photographs reasonably sufficient to show the Product, packaging, shipping materials, and claimed damage. KMNDZ may request additional photographs, information, documentation, preservation of packaging, cooperation with a carrier or fulfillment provider, or return of the Product as reasonably necessary to evaluate the claim.

Failure to provide timely notice or reasonably requested documentation may result in denial of the claim to the fullest extent permitted by applicable law.

KMNDZ will evaluate damage claims on a case-by-case basis. Submission of a claim does not guarantee replacement, refund, credit, or other relief.

If KMNDZ determines that a claim qualifies for relief, KMNDZ may, to the fullest extent permitted by applicable law and in its discretion, provide an appropriate remedy, which may include replacement of the damaged Product or such other remedy as KMNDZ determines appropriate under the circumstances.

KMNDZ may condition any replacement or other remedy upon compliance with reasonable claim procedures imposed by KMNDZ, a manufacturer, fulfillment provider, insurer, or shipping carrier.

Nothing in these Terms excludes any remedy that cannot lawfully be excluded.

11. Artwork, Copyright, and Intellectual Property

The artwork displayed on or incorporated into the Site or any Product, together with the Site and its photographs, images, graphics, illustrations, designs, text, logos, names, trademarks, trade dress, audiovisual materials, layout, compilation, and other content (collectively, “Site Content”), is owned by or licensed to KMNDZ, the artist, or their respective licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws.

Except for the limited right to access and view the Site for personal, lawful, noncommercial purposes, no right, title, license, or interest in or to any Site Content or artwork is granted to you except as expressly stated in writing by KMNDZ. All rights not expressly granted are reserved.

Purchasing a Product transfers ownership of the particular physical Product purchased, subject to these Terms, but does not transfer or license any copyright, trademark, reproduction right, derivative-work right, merchandising right, commercial-use right, digital right, publicity right, or other intellectual-property or proprietary right in the artwork embodied in or associated with that Product.

Without KMNDZ's prior express written authorization, you may not, directly or indirectly:

• reproduce, copy, scan, photograph for reproduction, digitize, download, capture, scrape, extract, archive, republish, upload, transmit, distribute, sell, sublicense, publicly exploit, or commercially use any artwork or Site Content;

• modify, alter, adapt, transform, manipulate, remix, animate, or create derivative works based upon any artwork or Site Content;

• manufacture, produce, advertise, sell, distribute, or otherwise exploit merchandise or other products incorporating or derived from any artwork or Site Content;

• use any artwork or Site Content in advertising, branding, promotion, endorsement, commercial media, or other commercial activity;

• mint, tokenize, register, sell, market, or otherwise use any artwork or Site Content in connection with any NFT, blockchain token, digital collectible, cryptocurrency-related product, or similar technology;

• use, copy, scrape, ingest, upload, provide, or make available any artwork or Site Content for use in connection with any artificial-intelligence, machine-learning, neural-network, computer-vision, generative-AI, image-generation, model-training, model-development, fine-tuning, dataset, benchmarking, feature-extraction, or similar system, process, technology, or service;

• use prompts, image references, image-to-image systems, models, datasets, or other means to intentionally reproduce, imitate, derive from, or commercially exploit protected artwork or Site Content in violation of KMNDZ's or the artist's rights;

• remove, obscure, alter, bypass, or interfere with any copyright notice, signature, watermark, attribution, metadata, technological protection, or rights-management information associated with artwork or Site Content; or

• authorize, encourage, assist, facilitate, or enable another person or entity to engage in any prohibited activity.

Nothing in these Terms restricts any use that cannot lawfully be restricted, including rights expressly provided by applicable law.

Unauthorized use of artwork or Site Content may violate copyright, trademark, unfair-competition, contract, or other laws and may subject the responsible person or entity to injunctive relief, damages, attorneys' fees, costs, and other remedies available under applicable law.

12. Artist Name, Marks, and Goodwill

The names KMNDZ, KMNDZ Art, associated logos, signatures, designs, source identifiers, and other marks used in connection with the artist, Site, or Products are owned by their respective owners.

Nothing in these Terms grants any right to use such names or marks in a manner that suggests sponsorship, affiliation, endorsement, authorization, or other association without prior written permission.

You may not use the artist's name, likeness, signature, marks, artwork, or other indicia of identity or goodwill to promote, market, endorse, authenticate, or increase the value of any unauthorized product, service, token, digital asset, or commercial activity.

13. Resale

Unless otherwise prohibited by applicable law, ownership of a lawfully purchased physical Product may permit its subsequent resale. Any such resale does not transfer copyright or any other intellectual-property rights in the underlying artwork.

No reseller or subsequent owner is authorized to represent that KMNDZ or the artist sponsors, endorses, authenticates, guarantees, or is affiliated with a resale transaction unless KMNDZ expressly agrees in writing.

KMNDZ makes no representation or warranty regarding the present or future market value, collectability, scarcity, investment value, or resale value of any Product.

14. No Investment Representation

Artwork and Products are offered as artistic and consumer goods and not as securities, investments, financial products, or guarantees of future value.

No statement concerning an artist's reputation, exhibition history, edition size, scarcity, prior sales, or other matter constitutes a representation or guarantee that a Product will retain or increase its value or have any particular resale market.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SITE CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, EXCEPT FOR ANY EXPRESS WARRANTIES OR REPRESENTATIONS THAT KMNDZ SPECIFICALLY PROVIDES IN WRITING AND THAT CANNOT OR HAVE NOT BEEN DISCLAIMED.

TO THE FULLEST EXTENT PERMITTED BY LAW, KMNDZ DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

KMNDZ DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT INFORMATION ON THE SITE WILL AT ALL TIMES BE COMPLETE, ACCURATE, OR CURRENT.

ARTWORK, PRINTS, FRAMING MATERIALS, AND OTHER PRODUCTS MAY BE AFFECTED OVER TIME BY LIGHT, ULTRAVIOLET EXPOSURE, HUMIDITY, MOISTURE, TEMPERATURE, AIR QUALITY, HANDLING, STORAGE, INSTALLATION, FRAMING, DISPLAY CONDITIONS, AGE, AND OTHER ENVIRONMENTAL OR PHYSICAL FACTORS. TO THE FULLEST EXTENT PERMITTED BY LAW, KMNDZ DOES NOT WARRANT AGAINST FADING, DISCOLORATION, WARPING, CRACKING, YELLOWING, DETERIORATION, OR OTHER CHANGES RESULTING FROM SUCH FACTORS.

Some jurisdictions do not permit the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KMNDZ ART, LLC, THE ARTIST, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AFFILIATES, LICENSORS, CONTRACTORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “KMNDZ PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, OR OPPORTUNITY; DIMINUTION IN VALUE; OR OTHER SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, PRODUCTS, THIRD-PARTY SERVICES, THESE TERMS, OR ANY PURCHASE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE KMNDZ PARTIES ARISING OUT OF OR RELATING TO ANY PARTICULAR PRODUCT, ORDER, TRANSACTION, OR CLAIM WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO KMNDZ FOR THE PRODUCT GIVING RISE TO THE CLAIM.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE KMNDZ PARTIES WILL NOT BE LIABLE FOR DELAYS, FAILURES, LOSSES, DAMAGE, OR OTHER EVENTS CAUSED BY THIRD-PARTY SERVICE PROVIDERS, SHIPPING CARRIERS, PAYMENT PROCESSORS, MANUFACTURERS, PRINTERS, FRAMERS, FULFILLMENT PROVIDERS, INTERNET OR TECHNOLOGY PROVIDERS, OR EVENTS OUTSIDE KMNDZ'S REASONABLE CONTROL.

The foregoing limitations apply to the fullest extent permitted by applicable law and do not limit liability that applicable law prohibits KMNDZ from limiting or excluding.

17. Indemnification; Defense; Hold Harmless

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the KMNDZ Parties from and against any and all claims, demands, actions, proceedings, liabilities, judgments, settlements, losses, damages, penalties, fines, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:

1. your violation or alleged violation of these Terms;

2. your unlawful, unauthorized, fraudulent, negligent, reckless, or willful use or misuse of the Site, Site Content, Products, or services;

3. your infringement, misappropriation, or violation of any copyright, trademark, privacy, publicity, contractual, proprietary, or other right of KMNDZ, the artist, or any third party;

4. your unauthorized reproduction, distribution, modification, commercial exploitation, merchandising, tokenization, artificial-intelligence use, machine-learning use, or other exploitation of artwork or Site Content;

5. information, content, instructions, representations, or materials submitted or provided by you;

6. your violation of applicable law or the rights of any person or entity; or

7. claims asserted by a third party arising from conduct for which you are responsible.

KMNDZ reserves the right, at your expense where permitted by law, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate reasonably in the defense of any such matter. You may not settle any claim imposing liability, obligations, admissions, or restrictions upon a KMNDZ Party without KMNDZ's prior written consent.

This Section survives termination of these Terms and your use of the Site.

18. Events Beyond Reasonable Control

To the fullest extent permitted by law, KMNDZ will not be liable for delay or failure in performance resulting from circumstances beyond its reasonable control, including acts of God, fire, flood, earthquake, severe weather, epidemic or pandemic, war, terrorism, civil disturbance, governmental action, labor disputes, shortages, supply-chain disruptions, utility or telecommunications failures, cyber incidents not caused by KMNDZ's failure to exercise legally required care, carrier interruptions, transportation failures, or failures of Third-Party Service Providers.

KMNDZ may suspend, delay, modify, or cancel affected performance as reasonably necessary under the circumstances, subject to any rights that cannot be waived under applicable law.

19. Feedback

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sub-licensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use. We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.

You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are and shall be under no obligation (1) to maintain your Feedback in confidence; (2) to pay compensation for your Feedback; or (3) to respond to your Feedback.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third-party.

20. Privacy

KMNDZ's collection, use, disclosure, and handling of personal information are described in its Privacy Policy, which is incorporated into these Terms by reference to the extent applicable.

Third-Party Service Providers may also maintain their own privacy policies and practices.

21. Governing Law

These Terms and any dispute arising out of or relating to the Site, Products, purchases, or these Terms will be governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Venue and Disputes

Except where applicable law provides otherwise, any legal action or proceeding arising out of or relating to these Terms, the Site, a Product, or a transaction with KMNDZ shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction and venue of those courts.

Nothing in these Terms prevents KMNDZ from seeking temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights, confidential information, proprietary rights, Site, systems, or other rights where such relief is available.

Nothing in this Section deprives a consumer of any forum or procedural right that cannot lawfully be waived.

23. Changes to These Terms

KMNDZ may modify these Terms from time to time.

The revised Terms will become effective when posted on the Site or on such later date as may be specified. The “Last Updated” date will identify the most recent revision.

Changes will apply prospectively except where applicable law permits otherwise. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

The terms governing a completed purchase will be those applicable to that transaction at the relevant time, except where the parties agree otherwise or applicable law permits a subsequent change.23. Agents
23.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using persons device, without direct supervision.
23.2 No Agent may access, use, or interact with Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 14.4 below. In addition, no Agent may access, use, or interact with Services if we have requested that the Agent refrain from accessing, using, or interacting with any service.
23.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Services.
23.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans, (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer, (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

24. Termination

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Artwork, Copyright, and Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, No Waiver, Entire Agreement, Assignment, Governing Law, Privacy, and any other provisions that by their nature should survive termination.

25. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law and, to the extent necessary, severed or limited so that the remaining provisions remain in full force and effect.

26. No Waiver

KMNDZ's failure or delay in exercising or enforcing any right or provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be express and will apply only to the particular circumstance for which it is given.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without KMNDZ's prior written consent.

KMNDZ may assign or transfer its rights or obligations under these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, transfer of the business or intellectual property, or other lawful transaction, or as otherwise permitted by applicable law.

28. Entire Agreement

These Terms, together with the Privacy Policy, any applicable Shipping/Returns/Damaged Orders Policy, the applicable Product description, and any other policies expressly incorporated by reference, constitute the agreement between you and KMNDZ concerning the matters addressed herein and supersede prior or contemporaneous communications concerning those matters, except for any separate written agreement expressly entered into by KMNDZ.

In the event of a conflict between these Terms and a Product-specific written term expressly stated by KMNDZ to govern a particular Product or transaction, the more specific term will control with respect to that Product or transaction.

29. Survival

Any provision that by its nature should survive termination or completion of a transaction will survive, including provisions concerning intellectual property, restrictions on use, disclaimers, limitations of liability, indemnification, governing law, disputes, and accrued rights and obligations.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
